Terms of Service

1. Acceptance of Terms

By accessing or using StackMeter (“the Service”), operated by StackMeter (“we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

StackMeter is a SaaS cost tracking and AI usage monitoring platform. The Service provides dashboards, analytics, and tooling to help users monitor token usage, model costs, and subscription spending related to AI and SaaS products. The Service includes a web application and a command-line interface (CLI).

3. Accounts and Registration

To use certain features of the Service, you must create an account using a supported authentication provider (e.g., GitHub OAuth). You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to provide accurate, current, and complete information during registration and to update such information as needed. We reserve the right to suspend or terminate accounts that contain inaccurate or fraudulent information.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to gain unauthorized access to the Service, other accounts, or any related systems or networks
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use the Service to transmit malware, spam, or other harmful content
  • Resell or redistribute the Service without our written consent

5. Tracking Tokens and API Keys

The Service provides tracking tokens for authenticating usage data submissions. You are responsible for keeping your tracking tokens secure. Do not share your tracking tokens publicly. If you believe a token has been compromised, revoke it immediately through the dashboard.

StackMeter does not store, access, or transmit your AI provider API keys. The CLI operates locally on your machine and only sends aggregated usage metadata (token counts, model names, cost estimates) to our servers.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by StackMeter and is protected by applicable intellectual property laws. You retain ownership of any data you submit to the Service.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice.

9. Limitation of Liability

To the maximum extent permitted by applicable law, StackMeter and its affiliates, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use of or inability to use the Service
  • Any unauthorized access to or alteration of your data or transmissions
  • Any third-party conduct on the Service
  • Any other matter relating to the Service

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that cost estimates, token counts, or other analytics provided by the Service are perfectly accurate.

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the “Last updated” date at the top of this page. Your continued use of the Service after any changes constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions.
